Professional responsibility remains with the clinician.
Assistente Clínico is professional software designed to assist with
documentation, organization, continuity, information review, and related
clinical workflows. It does not replace professional judgment and does
not independently diagnose, prescribe, or make treatment decisions.
1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of
Assistente Clínico and associated Institute Neumair websites,
applications, interfaces, and related services (collectively, the
“Service”).
By creating an account, accessing, purchasing, or using the Service,
you agree to these Terms and our
Privacy Policy.
Subscription billing, trials, cancellations, and refunds are also
subject to our
Refund & Cancellation Policy.
If you do not agree to these Terms, do not use the Service.
2. Service Provider and Merchant of Record
Assistente Clínico is provided and operated by Institute Neumair.
Institute Neumair is responsible for the software service, product
access, and these Terms governing use of the Service.
Paid subscription transactions are processed through FastSpring.
FastSpring acts as Merchant of Record for those transactions and
processes the payment transaction, applicable transaction taxes,
receipts, and related payment services.
FastSpring's purchaser terms apply to transactions processed through
FastSpring. These Institute Neumair Terms govern your access to and use
of Assistente Clínico.
3. Eligibility and Professional Use
You must be at least 18 years old and legally capable of entering into
these Terms.
Features intended for professional clinical use are designed for
qualified professionals who are authorized to perform the relevant
work in their jurisdiction.
You are responsible for determining whether your use of the Service is
permitted under the laws, professional rules, ethical standards,
licensing requirements, privacy obligations, and organizational
policies applicable to you.
4. Clinical and Professional Responsibility
Assistente Clínico assists the professional; it does not become the
clinical decision-maker.
The Service may organize, summarize, synthesize, retrieve, compare,
or present information based on user-provided material and other
resources available within the Service.
Automated or AI-generated output may contain errors, omissions,
incomplete information, or inappropriate conclusions.
You remain responsible for reviewing outputs before using them and for
all professional judgments, diagnoses, interventions, treatment
decisions, records, communications, and other actions involving your
clients or patients.
The Service must not be used as a substitute for emergency services or
for independent professional assessment where immediate evaluation is
required.
5. Accounts and Security
You agree to provide accurate account information and to keep your
login credentials secure.
You are responsible for activity occurring through your account unless
the activity resulted from a security failure for which Institute
Neumair is legally responsible.
You must notify us promptly if you believe your account or credentials
have been compromised.
6. 48-Hour No-Card Preview
Eligible new users may receive a limited forty-eight (48) hour preview
of Assistente Clínico before selecting a paid subscription.
No payment method is required for this preview and no subscription
charge is made during the preview period.
Preview access may include limits on clients, sessions, usage,
features, or other functionality.
The 48-hour preview is provided by Institute Neumair and is separate
from the FastSpring subscription trial described below.
7. Five-Day Free Subscription Trial
After the 48-hour no-card preview, an eligible user may select an
available subscription plan and begin an additional five (5) calendar
day free trial through FastSpring.
A valid payment method is required to start this five-day trial.
FastSpring collects the payment information at checkout, but the
regular subscription price is not charged when the free trial begins.
Unless the subscription trial is cancelled before it expires, the
payment method associated with the subscription will automatically be
charged the applicable subscription price when the five-day trial
ends.
The amount, currency, billing cycle, taxes, and other transaction
information applicable to the subscription are displayed through
FastSpring checkout.
8. Subscription Plans and Pricing
Assistente Clínico may be offered through different subscription plans
with different features, usage limits, and billing cycles.
Current public plan information is available on our
Pricing page.
The final amount and transaction terms applicable to an order are shown
at FastSpring checkout before the customer completes the transaction.
We may revise plan features, limits, or prices from time to time.
Changes affecting an existing paid subscription will be handled
according to the applicable subscription terms, required notice, and
applicable law.
9. Automatic Renewal
Unless cancelled, paid subscriptions automatically renew according to
the billing cycle selected at checkout.
Monthly subscriptions ordinarily renew monthly and annual
subscriptions ordinarily renew annually.
The applicable renewal amount and subscription information are
associated with the FastSpring subscription created at checkout.
10. Trial and Subscription Cancellation
10.1 Cancellation During the Five-Day Trial
You may cancel the FastSpring subscription trial before it expires to
prevent the first regular subscription charge.
FastSpring's Account Management Portal allows customers with an active
trial to view remaining trial time, manage supported payment methods,
and cancel the trial before automatic billing begins.
10.2 Cancellation After Paid Billing Begins
After a paid subscription begins, you may cancel it to stop future
automatic renewals.
Cancellation does not ordinarily reverse a payment that has already
been processed. Unless otherwise required by applicable law or
expressly stated, paid access may continue until the end of the
current subscription period.

11. Payment, Taxes, and Billing Information
FastSpring is the Merchant of Record for paid subscription
transactions and handles payment processing and applicable transaction
taxes for orders processed through its platform.
Available payment methods, currencies, taxes, and localized
transaction information may vary according to purchaser location,
payment method, and other transaction factors presented at checkout.
Institute Neumair does not store full payment card numbers submitted
through FastSpring checkout.
12. User Content and Confidential Information
“User Content” means information, text, files, prompts, notes, session
material, and other content that you submit to the Service.
You retain your rights in your User Content.
You grant Institute Neumair the limited rights necessary to process
User Content for the purpose of operating, securing, supporting, and
providing the Service according to these Terms and our Privacy Policy.
You are responsible for ensuring that you have the lawful authority
and appropriate professional basis to submit information to the
Service.
Where clinical or client information is involved, you are responsible
for complying with applicable confidentiality, privacy, consent,
professional, and record-handling requirements.
13. Privacy and Data Processing
Our collection, use, retention, protection, and disclosure of Personal
Data are described in the
Institute Neumair Privacy Policy.
FastSpring separately processes purchaser and transaction information
in its role as Merchant of Record according to its own applicable
privacy terms.
14. Acceptable Use
You must not use the Service to:
- violate applicable law, regulation, or professional obligations;
- infringe another person's intellectual property, privacy, confidentiality, or other rights;
- submit content that you are not authorized to process;
- engage in fraud, impersonation, harassment, abuse, or unlawful conduct;
- circumvent usage limits, access controls, security measures, or subscription restrictions;
- probe, scan, exploit, or interfere with the security or operation of the Service;
- introduce malicious code or deliberately disrupt the Service;
- reverse engineer the Service except to the extent that applicable law expressly permits such activity despite this restriction; or
- use the Service in a manner that materially harms Institute Neumair, other users, or third parties.
15. Intellectual Property
Except for User Content and third-party materials, the Service,
software, interfaces, design, trademarks, documentation, proprietary
workflows, and associated intellectual property are owned by or
licensed to Institute Neumair.
Subject to these Terms and an active right of access, Institute Neumair
grants you a limited, non-exclusive, non-transferable right to use the
Service for its intended purpose.
No ownership rights in the Service are transferred to you.
16. Third-Party Services
The Service may rely on or interoperate with third-party infrastructure
and service providers, including payment processing, hosting, security,
communications, and technology providers.
Third-party products and services may be governed by separate terms
and privacy policies.
17. Availability and Changes to the Service
We work to maintain reliable access but do not guarantee uninterrupted
or error-free availability.
Maintenance, security events, third-party outages, updates, or other
operational conditions may temporarily affect access.
Institute Neumair may modify, improve, replace, or discontinue
features where reasonably necessary, subject to applicable contractual
and legal obligations.
18. Suspension and Termination
Institute Neumair may restrict or suspend access where reasonably
necessary to address security risks, fraud, unlawful activity,
material breach of these Terms, non-payment, abuse of the Service, or
threats to other users or system integrity.
Where appropriate and reasonably possible, we may provide notice or an
opportunity to resolve the issue before permanent termination.
19. Disclaimers
To the maximum extent permitted by applicable law, the Service is
provided on an “as available” basis.
Institute Neumair does not warrant that automated or AI-assisted output
will always be complete, accurate, current, clinically appropriate, or
suitable for a particular professional purpose.
No provision of these Terms removes obligations or protections that
cannot legally be excluded.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Institute Neumair
will not be liable for indirect, incidental, special, punitive, or
consequential damages resulting from use of or inability to use the
Service.
To the extent a monetary limitation is legally enforceable, Institute
Neumair's aggregate liability arising from the Service will not exceed
the amount paid by the claimant for the Service during the twelve (12)
months immediately preceding the event giving rise to the claim.
Some jurisdictions do not permit certain exclusions or limitations of
liability. Where those rules apply, this section applies only to the
maximum extent permitted by law.
21. Mandatory Rights
Nothing in these Terms excludes, restricts, or replaces a statutory,
consumer, privacy, professional, or other legal right that cannot
lawfully be waived.
22. Applicable Law and Disputes
These Terms are subject to applicable law and to any mandatory rights
or jurisdictional protections that apply to the parties and cannot
legally be excluded.
Before beginning formal proceedings, you are encouraged to contact
Institute Neumair so that we can attempt to resolve the issue directly,
except where immediate legal action is necessary or this requirement
would conflict with applicable law.
Payment-transaction disputes involving purchases processed by
FastSpring may also be subject to FastSpring's applicable purchaser
terms and payment-dispute procedures.
23. Changes to These Terms
We may update these Terms from time to time to reflect changes to the
Service, law, security requirements, or business operations.
The “Last updated” date identifies the current published version.
Where legally required, material changes will be communicated through
an appropriate notice.
24. Miscellaneous
If a provision of these Terms is found unenforceable, the remaining
provisions remain effective to the extent permitted by law.
A failure to enforce a provision on one occasion does not constitute a
permanent waiver of that provision.
These Terms, together with the policies incorporated by reference,
form the agreement governing your use of the Service unless a separate
written agreement expressly applies.
